These Terms and Conditions ("Agreement") govern your use of the CityTrip.AI mobile application ("the App") provided by CityTrip.AI ("we," "our," or "us"). By downloading, accessing, or using the App, you agree to be bound by this Agreement. If you do not agree with any part of the Agreement, please refrain from using the App.
1.1. The App is intended for personal and non-commercial use. You may use the App solely for the purpose of accessing and utilizing the features and services provided.
1.2. You are responsible for maintaining the confidentiality of any account credentials, including your login information. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
2.1. The App may allow you to submit or upload content, including user-generated itineraries, reviews, comments, and other materials ("User Content"). By submitting User Content, you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and worldwide license to use, display, modify, reproduce, distribute, and publish the User Content in connection with the App's operation and promotion.
2.2. You represent and warrant that you have all necessary rights and permissions to submit the User Content and that the User Content does not violate any third-party rights, including copyright, trademark, privacy, or publicity rights.
3.1. The App and all its content, including but not limited to text, graphics, logos, images, software, and design elements, are protected by intellectual property rights, including copyright and trademark laws. You acknowledge and agree that all ownership rights in the App and its content remain with us or our licensors.
3.2. You may not reproduce, modify, distribute, display, perform, or otherwise use any part of the App or its content without our prior written consent.
4.1. The App is provided on an "as-is" and "as available" basis. We make no warranties or representations of any kind, express or implied, regarding the App's availability, accuracy, reliability, or suitability for any purpose. We disclaim all warranties, whether expressed or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
4.2. We shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with your use of the App, including but not limited to any loss of data, revenue, or profits.
You agree to indemnify and hold us harmless from and against any claims, damages, liabilities, costs, and expenses arising out of or in connection with your use of the App, your violation of any provisions of this Agreement, or your violation of any rights of a third party.
We reserve the right to modify, suspend, or terminate the App or any part of it at any time without prior notice. We may also modify this Agreement at our discretion. It is your responsibility to review this Agreement periodically for any changes. Your continued use of the App following the posting of changes constitutes your acceptance of the modified Agreement.
This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in [Jurisdiction].
If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
This Agreement constitutes the entire agreement between you and CityTrip.AI concerning the subject matter hereof and supersedes any prior agreements, communications, or representations, whether oral or written.
